Legal Entity Information

These Terms of Service ("Terms") are entered into by and between you and Inferlio, a Dutch company registered with KVK number 97190772, with its registered address at Truus Gelsingstraat 287, 6663 RE Nijmegen, The Netherlands ("Decklio", "we", "us", or "our"). These Terms are governed by the laws of the Netherlands, and any disputes will be resolved in the courts of the Netherlands.

1. Acceptance of Terms

By accessing, browsing, or using Decklio's educational platform and services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must not use our Services.

Modifications to Terms: We may modify these Terms at any time by providing at least thirty (30) days advance notice via email to your registered email address or through prominent notice on our platform. Material changes will require your affirmative consent to continue using the Services. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.

Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

2. User Accounts and Age Requirements

Account Registration: To access certain features, you must register for an account providing accurate, current, and complete information. You agree to promptly update your account information to maintain its accuracy.

Age Requirements and COPPA Compliance:

• Users must be at least 13 years old to create an account
• Users under 13 may only use our Services with verifiable parental consent
• Users between 13-17 must have parental consent to use paid Services
• We comply with the Children's Online Privacy Protection Act (COPPA)

Account Security: You are responsible for:

• Maintaining the confidentiality and security of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Using strong passwords and enabling two-factor authentication when available

Account Termination: We may suspend or terminate accounts for violations of these Terms, with appropriate notice and opportunity to cure non-material breaches where feasible.

3. Subscription and Payment Terms

Service Tiers: We offer both free and paid subscription tiers ("Pro" subscriptions). Pro features include enhanced AI capabilities, increased storage, and premium educational tools.

Billing and Payment:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are in Euros unless otherwise specified
• Payment processing is handled by third-party providers subject to their terms
• You authorize automatic renewal unless cancelled before the renewal date
• Applicable taxes may be added to subscription fees

Free Trials: Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled before the trial expires. No charges occur during the trial period.

Refund Policy: We offer full refunds within 30 days of initial purchase for annual subscriptions, and within 7 days for monthly subscriptions. Refunds are processed to the original payment method within 5-10 business days.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period, with continued access until expiration.

4. User Content and Intellectual Property

Your Content Rights: You retain all intellectual property rights to content you create, upload, or share through our Services ("User Content"). We do not claim ownership of your educational materials, flashcards, or study content.

Limited License to Decklio: By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to:

• Store, display, and transmit your content through our Services
• Make technical modifications necessary for platform functionality
• Create backups and ensure service availability
• Enable sharing features you explicitly activate

DMCA Compliance: We respect intellectual property rights and comply with the Digital Millennium Copyright Act. To report copyright infringement, contact us at support@decklio.com with:

• Identification of the copyrighted work claimed to be infringed
• Location of the allegedly infringing material
• Your contact information and electronic signature
• A statement of good faith belief that use is not authorized

Prohibited Content: You may not post content that:

• Violates any applicable laws, regulations, or third-party rights
• Contains malware, viruses, or other harmful code
• Promotes harassment, discrimination, or violence
• Infringes intellectual property rights
• Contains false, misleading, or deceptive information
• Violates academic integrity or promotes cheating

5. AI Integration and Third-Party Services

AI-Powered Features: Our Services integrate with third-party AI providers including Google (Gemini), OpenAI (GPT-4), and Anthropic (Claude) to enhance educational experiences.

AI Disclaimers:

• AI-generated content may contain inaccuracies or errors
• We do not guarantee the accuracy, completeness, or reliability of AI outputs
• You are responsible for verifying AI-generated educational content
• AI training data may include copyrighted materials; use AI outputs responsibly
• Third-party AI services are subject to their respective terms and privacy policies

User Responsibility: You agree to use AI features responsibly and in compliance with academic integrity policies of your educational institution.

6. Educational Platform Compliance

FERPA Compliance: When used in educational settings with student records, we comply with the Family Educational Rights and Privacy Act (FERPA) as a school official with legitimate educational interests.

Academic Integrity: Our platform is designed to support learning. Users agree not to:

• Use our Services to facilitate academic dishonesty or cheating
• Share or distribute copyrighted educational materials without permission
• Circumvent educational restrictions or monitoring systems
• Misrepresent AI-assisted work as original authorship when prohibited

Accessibility: We strive to comply with Section 508 and WCAG 2.1 AA accessibility standards to ensure our Services are available to users with disabilities.

7. Privacy and Data Protection

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to our data practices as described in our Privacy Policy.

Data Security: We implement industry-standard technical and organizational measures to protect your personal data, including encryption, access controls, and regular security audits.

Data Retention: Upon account termination, we will delete or anonymize your personal data within 90 days, except as required for legal compliance or legitimate business purposes.

8. Service Availability and Modifications

Service Modifications: We reserve the right to modify, suspend, or discontinue any part of our Services with at least 30 days advance notice for material changes affecting paid subscriptions.

Service Level: While we strive for high availability, we do not guarantee uninterrupted service and are not liable for temporary outages or maintenance periods.

Data Export: Upon request, we will provide you with an export of your data in a commonly used format before any service discontinuation.

9. Limitation of Liability and Disclaimers

Service provided "as is": Our Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of liability: To the maximum extent permitted by law, Inferlio's total liability for any claims arising from or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or €100, whichever is greater.

Excluded damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or educational opportunities, regardless of the theory of liability.

Educational Disclaimers: We do not guarantee educational outcomes, test scores, or academic performance improvements. Our Services are supplemental educational tools.

10. Indemnification

You agree to indemnify, defend, and hold harmless Inferlio, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services or violation of these Terms
• Your User Content or any third-party claims related thereto
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations

11. Dispute Resolution

Governing Law: These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

Jurisdiction: Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts located in the Netherlands, and the parties consent to personal jurisdiction and venue therein.

Informal Resolution: Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@decklio.com.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Statute of Limitations: Any claim or cause of action arising under these Terms must be filed within one (1) year after such claim or cause of action arose or it will be forever barred.

12. Termination

Termination by You: You may terminate your account at any time through your account settings or by contacting us. Termination does not entitle you to a refund of prepaid fees.

Termination by Us: We may terminate or suspend your access for material breach of these Terms, with reasonable notice and opportunity to cure where feasible, except for immediate termination in cases of:

• Violation of intellectual property rights
• Harmful or illegal activity
• Non-payment of fees after reasonable notice
• Repeated violations after previous warnings

Effect of Termination: Upon termination, your right to use the Services immediately ceases. We will provide reasonable opportunity to export your data. Provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

13. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Inferlio regarding the Services.

Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure: Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control.

Export Controls: Our Services are subject to U.S. export control laws. You agree to comply with all applicable export control and sanctions regulations.
